By accessing or using Parabolics (the "Services"), you agree to these Terms of Service and the Disclaimer and Privacy Policy, which are incorporated by reference. If you do not agree, do not use the Services. You must be at least 18, have legal capacity to contract, and not be barred from using the Services under applicable law or sanctions. The Services are intended for users in the United States.
Parabolics provides **algorithmic trading software, market-regime signals, backtesting analytics, and trade-automation technology (collectively, the "Software"). The Software is leased and licensed to you as a technology solution only.** Subject to these Terms and your active subscription, Parabolics grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your own personal, self-directed use. We sell access to *technology* — not assets, not advice, not a managed account.
**Parabolics is NOT, and does not act as, a registered investment adviser, broker-dealer, commodity trading advisor (CTA), commodity pool operator (CPO), futures commission merchant (FCM), bank, fiduciary, or custodian. Parabolics does not** provide investment advice, investment management, portfolio management, discretionary trading, or financial, legal, tax, or accounting advice, and is not registered or licensed by the SEC, CFTC, NFA, FINRA, or any financial regulatory authority (United States). Nothing the Software outputs is a recommendation, solicitation, or offer to buy or sell any security, future, or other instrument, or to adopt any strategy. The Software's outputs are general, impersonal, and identical for all users; they are not tailored to your financial situation, objectives, or risk tolerance.
The Services are self-directed. You alone select your strategy, leverage, risk settings, and broker, and you are solely responsible for all trading decisions, orders, and outcomes in your account. If you enable automation, **you connect your own brokerage account, you authorize and arm the connection, and all orders execute in your account, in your name, with your funds, under your control.** You may pause, disable, or disconnect the Software at any time. You are responsible for monitoring your account and for any orders placed.
Parabolics never holds, custodies, withdraws, or transfers your funds or securities. Your capital remains in your own regulated brokerage account at all times. Any broker or connector integration you enable is execution-only (to place and close orders) and **does not grant withdrawal, transfer, or custody permissions.** Parabolics has no access to move money out of your account.
Automation may rely on third-party brokers and execution connectors (e.g., TradersPost, PickMyTrade, Capitalise.ai, TradingView, or broker APIs). Your relationship with any such third party is **solely between you and them**, governed by their terms; Parabolics is not a party to and is not responsible for their acts, omissions, outages, fills, fees, or data. You are responsible for complying with your broker's and any connector's terms, and for the suitability and risk of any account or instrument you trade.
Access is provided on a subscription/license basis at the fees and cadence shown at purchase. Subscriptions auto-renew until cancelled; you may cancel prospectively at any time. Fees are non-refundable except where required by law. We never charge a percentage of your assets (no AUM fee). Initiating a chargeback or payment dispute for fees you owe is a material breach and may result in immediate termination. We may change fees prospectively on notice.
You may not (a) copy, modify, reverse-engineer, decompile, or attempt to derive the source, models, signals, or methodology of the Software; (b) resell, sublicense, redistribute, or share your access or the signals; (c) use the Software to provide advice or services to third parties; (d) circumvent access controls or usage limits; or (e) use the Services unlawfully or to manipulate any market. Your access is for your own account(s).
Parabolics and its licensors own all right, title, and interest in the Software, signals, models, content, and marks. No rights are granted except the limited license in Section 2.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or uninterrupted or error-free operation. We do not warrant any result, signal accuracy, data correctness, execution timeliness, or profit.
You acknowledge the Disclaimer and that **trading involves substantial risk of loss; leveraged products (leveraged ETFs and futures) amplify gains and losses and can lose principal rapidly; and all performance figures are hypothetical/backtested and not indicative of future results.** You assume all risk of using the Services and of any trade in your account.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARABOLICS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY TRADING OR INVESTMENT LOSSES, LOST PROFITS, OR LOST DATA, ARISING FROM OR RELATING TO THE SERVICES. **OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE FEES YOU PAID TO PARABOLICS IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM**. Some jurisdictions do not allow certain limitations; these apply to the extent permitted.
You will indemnify and hold harmless Parabolics and its affiliates from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Services, your trades, your breach of these Terms, or your violation of law or any third party's rights.
Any dispute will be resolved by binding individual arbitration administered by the **American Arbitration Association (AAA) in California, under its rules, and you and Parabolics waive any right to a jury trial and to participate in a class, collective, or representative action.** (A small-claims carve-out and a 30-day opt-out right are commonly added — your attorney can confirm the final wording.)
These Terms are governed by the laws of California, without regard to conflict-of-laws rules.
We may suspend or terminate your access for breach or to comply with law. Sections 3, 5, and 8–15 survive termination.
We may update these Terms prospectively; continued use after the effective date of changes constitutes acceptance.
